What Cambridge Ct Homeowners's governing documents say
This document is the Bylaws for Cambridge Court Homeowners Association, a Texas condominium association governing a condominium property in Dallas, Texas. These Bylaws define how the association is run—covering the board of directors, meetings, voting, enforcement, and amendments—but do not contain the specific use restrictions (e.g., pets, leasing, noise) that would be found in the Declaration or separate Rules. They apply to all unit owners and residents, but primarily address the association's internal governance.
- Board of Directors & Officers: The Board has 3 directors serving staggered 2-year terms. Directors must be owners or spouses. Officers (president, secretary, treasurer) are elected annually by the Board. Directors can be removed by a two-thirds vote of members present, or by the Board for specific reasons (e.g., delinquency, litigation).
- Meetings & Voting: Annual meetings are held in March. Special meetings can be called by the Board or by petition of 20% of unit owners. Quorum is 20% of units represented in person or by proxy. Members vote by unit; majority of votes cast binds all owners. Proxies are allowed and valid for up to one year.
- Assessments & Financial Obligations: Unit owners must pay assessments levied by the Association to cover common expenses (detailed in the Declaration). Failure to pay can result in loss of voting rights (if 45 days delinquent) and other enforcement actions.
- Violations & Fines: The Board may impose reasonable fines for violations of governing documents, but must first provide written notice and an opportunity for a hearing. Fines can be ongoing or per-occurrence. Interest may not be charged on unpaid fines, and fines alone cannot be foreclosed as a lien.
- Adoption of Rules: The Board may adopt, amend, or terminate rules for administration, maintenance, and resident welfare. Rules cannot conflict with law or governing documents. At least 10 days' notice and an opportunity for comment must be given before a rule takes effect.
- Amendment Process: Bylaws can be amended by a majority vote of members present at a meeting with a quorum (unless a higher threshold is required). Amendments must be recorded in the county records. During the development period, Declarant's consent is needed for certain changes.
- Declarant Control Period: During the Declarant Control Period (defined in the Declaration), the Declarant has special powers to appoint and remove directors, and its rights in Appendix B of the Declaration take precedence over the Bylaws.
- What this document doesn't cover: These Bylaws do not contain specific resident rules (e.g., pet limits, lease restrictions, parking, noise, or age limits) or details about common element maintenance. Those rules are in the Declaration or separate Rules documents.
