What Emerson Manor Condominiums's governing documents say
Emerson Manor is a condominium community in University Park, Texas. This document is the Bylaws and Articles of Incorporation for the homeowners association — it defines how the association is governed, not the full set of rules for residents. Unit owners automatically become members of the association and are subject to assessments and governance procedures described herein.
- Membership & voting: Every unit owner is a member with voting power equal to the unit's common interest. One vote per unit; joint owners cast one vote among them. The developer (Declarant) holds three votes per owned unit until 75% of units are sold to others, then control shifts to owners.
- Board of Directors: The association is managed by a board of at least 3 directors (initially 3). Directors serve staggered three-year terms. During the developer-control period, the Declarant appoints all directors; thereafter, owners elect them. Directors may be removed by a majority vote of members.
- Assessments & suspension of rights: The board sets annual and special assessments. Failure to pay results in suspension of voting rights and use of common elements until paid. The board may also suspend rights for rule violations for 30 days or until cured.
- Meetings & quorum: Annual member meetings are held within 60 days of the anniversary of the first meeting. Special meetings can be called by a majority of the board or by members holding 51% of votes. Quorum is a majority of all member votes. Board meetings require a majority of directors for quorum.
- Powers of the Board: The board manages the association's affairs, including fixing assessments, maintaining common elements, procuring insurance, and approving budgets. Capital expenditures over $10,000 (excluding insurance proceeds or budgeted items) require member approval.
- Amendments: These Bylaws may be amended by a majority vote of all members or directors, as applicable, provided the amendment does not conflict with the Declaration or Certificate of Formation.
- What this document doesn't cover: This is only the governance framework (Bylaws and Articles). Specific rules on pets, leasing, age restrictions, parking, architectural controls, and other resident conduct are likely in the separate Declaration of Covenants, Conditions, and Restrictions, which is not included here.
