The document governs how the association is run — board elections, meetings, member voting, and enforcement procedures. - Membership & Voting: Every lot owner is a member. Voting is per lot; proxies and absentee/electronic ballots are allowed. Quorum for member meetings requires at least 10% of Class A votes. A petition signed by 10% of votes can call a special meeting.
- Board of Directors: The Board has 3 directors. During the developer (Class B) control period, directors are appointed by the developer. After turnover, Class A members elect three directors for 2-year terms. Directors must be members (or spouses), and no convicted felons may serve.
- Association Meetings: Annual meetings are held in the second quarter. Special meetings require notice 10-60 days in advance. Board meetings must be open to members (except executive sessions for specific matters) and require 72-hour notice. At least four board meetings per year after developer control.
- Rule Enforcement & Fines: Before fining, suspending rights, or suing (except for assessments/foreclosure), the Association must give written notice with a cure period and offer a hearing within 30 days. Self-help (e.g., towing) and court action are also allowed without notice and hearing in some cases.
- Amendment Process: During the development period, the developer (Declarant) can unilaterally amend the Bylaws. After that, amendments require 51% of Class A votes and (until development period ends) consent of the Class B member. Amendments must be recorded.
- Records & Inspections: Members may inspect or request copies of association books and records (except confidential records like violation history or personal financial info). The association must respond within 10 business days; costs may be charged.
