Birmingham Ranch is a standard single-family homeowners' association (HOA) in Wylie, TX — you own your lot and the HOA is responsible for common area maintenance and enforcing covenants. This document contains the Bylaws and Certificate of Formation, which govern how the HOA operates, not the day-to-day rules (which are in the Declaration).
- Membership & voting: All lot owners are automatically members. Each lot gets one vote (Class A), with a separate Class B for the developer during the control period. Voting rights can be suspended for unpaid assessments or for up to 60 days per rule infraction. Proxies are allowed.
- Board of Directors: The Board consists of three directors initially, elected by members for staggered three-year terms. Vacancies are filled by the remaining board (for death/resignation) or by member vote (for removal or increase in size).
- Meetings & quorum: Annual member meetings require a 60% quorum. Board meetings are open to members with limited participation; quorum is a majority of directors. Executive sessions allowed for personnel, litigation, or discipline.
- Assessments & budgeting: Assessments are set in the Declaration, not in these Bylaws. The Board may establish a working capital and contingency fund. An unaudited annual report is due to owners within 120 days after each fiscal year.
- Indemnification & liability: Directors and officers are indemnified except for willful malfeasance, gross negligence, or bad faith. Director liability for monetary damages is limited unless for breach of loyalty, intentional misconduct, or improper benefit.
- Amendments: Bylaws can be amended by member vote (needs developer consent until control transfers) or as needed for regulatory compliance. Amendments may also correct technical errors.
