Shoppes At Pecan Ranch is a commercial retail development in Casa Grande, AZ, governed by a Declaration of Easements, Covenants, Conditions and Restrictions between two property owners (NEC and N2I). This document applies to two commercial parcels and sets reciprocal easements, use restrictions, maintenance duties, and insurance requirements. It is not a residential homeowners association.
- Reciprocal access & easements: Each parcel has a non-exclusive perpetual easement over the other's common areas for vehicular and pedestrian access, plus easements for water lines, sewer lines, utilities, and incidental drainage. Self-help easements allow entry to perform another owner's obligations.
- Use restrictions: For the first 5 years from recording (July 2015), the N2I Parcel must operate a convenience store with gas station under the 'Corner Store' name. The NEC Parcel cannot sell motor fuels, operate a convenience store, or duplicate the primary use of any business on the N2I Parcel. Prohibited uses for the N2I Parcel include adult businesses, pawn shops, massage parlors, and more.
- Construction & architectural approval: Before any new construction, the owner must submit plans to NEC for approval (except N2I's prototypical Corner Store, which is deemed approved). N2I's buildings are limited to two, each no larger than 6,500 sq ft and no taller than 28 ft. NEC's approval is due within 20 days, or the plans are deemed approved.
- Maintenance obligations: Each owner must maintain its buildings and common areas in 'First Class Condition,' including graffiti removal within 20 days of notice. Common area maintenance includes sweeping, lighting, striping, and repairs. N2I initially maintains all common areas until NEC obtains a building permit.
- Insurance requirements: Each owner must carry commercial general liability insurance with a combined single limit of $5,000,000 per occurrence (or $1,000,000 while N2I operates a Corner Store), plus property insurance at 100% replacement cost. Construction insurance must meet specific limits (e.g., $5M umbrella). Policies must name other owners as additional insureds.
- Environmental indemnification: N2I must indemnify NEC for environmental liabilities arising from N2I's operations on its parcel, including cleanup of hazardous materials. N2I represents it will only store motor fuels and incidental quantities of other hazardous materials. Underground storage tanks must comply with federal and state regulations.
- Term & amendments: The declaration is effective upon recording (July 2015) and runs for 99 years. Amendments require the written consent of all record owners of the NEC and N2I Parcels.
