Rockridge West is a single-family homeowners' association (HOA) in Flagstaff, AZ. This document is the association's bylaws, which explain how the HOA is run—not the full rules for owners. The detailed property restrictions (like architectural standards or use limits) are in a separate Declaration of Covenants, Conditions, and Restrictions (CC&Rs). These bylaws apply to every lot owner; membership is automatic with ownership.
- Membership & voting: Each lot owner is a member with one vote per lot. Co-owners share a single vote. Voting by proxy is not allowed; absentee ballots are permitted.
- Meetings & quorum: Annual meeting is held each July. Special meetings can be called by the Board or by any three members. A quorum requires owners of more than 17 lots. Once a quorum is present, a simple majority of votes passes most issues.
- Board of Directors: The Board has 3 directors, elected annually by members. Directors must be lot owners or family members living on the lot. Regular meetings at least once a year; special meetings by request with 14–60 days notice. A majority (2 directors) constitutes a quorum.
- Spending limits: No single expenditure over $500 may be approved without majority vote of the Board.
- Assessments & budgeting: The Board prepares an annual budget; members vote on assessment amounts at the annual meeting. If no new assessment is approved within 30 days after the meeting, the prior year's assessment continues. Special assessments also require member vote.
- Architectural Committee: An Architectural Committee is elected annually by members to maintain design and landscaping compatibility. Details of what requires approval are in the CC&Rs.
- Amendments to bylaws: Bylaws can be amended by a simple majority vote of members, after the Board presents a resolution at an annual or special meeting.
