What Serrano Homeowners Association's governing documents say
Serrano Homeowners Association is a planned community of single-family homes in Gilbert, AZ. These Amended and Restated Bylaws (dated 1998) govern how the association is run — board elections, meetings, voting, and finances. They do not contain the community's use restrictions (e.g., pets, rentals, architectural rules), which are found in a separate Declaration of Covenants.
- Who is subject to the Bylaws: All current and future owners and occupants of lots, and anyone with a right to use common areas, must comply. Owning, renting, or occupying a lot is deemed acceptance of these Bylaws.
- Voting rights & membership: Each lot has one vote, cast as a single unit. Joint owners must agree; if they can't, they lose the vote. Votes cannot be transferred except with the lot. A majority of votes present at a meeting decides most questions.
- Board of Directors: After the developer phase ends, the Board has five directors, elected for two-year staggered terms. Directors must be owners (or representatives of corporate/partnership owners). A director automatically resigns if more than 30 days delinquent on assessments or misses four consecutive meetings.
- Meetings & quorum: Annual meetings are held the first Tuesday in March. Special meetings can be called by the Board, the President, or by petition of 10% of voting members. A quorum is 10% of voting members. Proxies are allowed but expire after 11 months.
- Budget & assessments: The Board prepares an annual budget covering estimated income, expenses, and reserves for common area repairs and replacements. The budget is provided to owners at the annual meeting or on request. Specific assessment amounts and rules are in the Declaration.
- Amending the Bylaws: Bylaws can be amended by a majority vote of members present at a meeting, provided the notice includes the proposed amendment. Amendments cannot conflict with the Declaration or Articles of Incorporation. The developer (Declarant) retains a right to amend to satisfy FHA/VA requirements.
- What this document doesn't cover: This document does not include rules on pet limits, leasing restrictions, architectural standards, parking, or specific use of lots. Those are in the Declaration of Covenants, which is referenced but not included here.
