Apache Plaza is a commercial shopping center in Mesa, AZ governed by a declaration of covenants, conditions, and restrictions (CC&Rs). This document outlines the rights and obligations of the owners of five commercial parcels (A–E), not residential units. It is intended for property owners, tenants, and investors in the shopping center.
- Permitted uses & restrictions: The shopping center is for commercial/office use only; residential and industrial uses are prohibited without Parcel E Owner's consent. Specific uses are restricted: drug store use is limited to Parcel E; no flea market, second-hand store, entertainment/recreational facilities, training/educational facilities, auction, or motor vehicle sales without Parcel E Owner's approval.
- Common area ownership & maintenance: All owners share nonexclusive easements over the common area for parking, access, utilities, and signage. The Parcel E Owner acts as Manager, responsible for operating and maintaining common areas (e.g., parking, landscaping, lighting). Each owner pays a proportionate share of Common Area Maintenance Expenses based on parcel size (percentages given: Parcel A 8.05%, B 5.09%, C 0.50%, D 2.50%, E 83.86%).
- Assessments & cost sharing: Monthly payments are due for estimated common expenses, adjusted annually. Delinquent owners may be charged a default rate (prime + 4%); other owners can cover delinquent amounts and seek reimbursement. A 15% management fee is added to each owner's share.
- Insurance & indemnification: Each owner must maintain general liability insurance with at least $3,000,000 combined single limit, and provide certificates upon request. Owners indemnify each other for claims arising from their acts or omissions.
- Building design & alterations: No building may exceed one story without Parcel E Owner's written approval. All construction and material alterations require prior written consent (failure to respond in 15 days = disapproval). Buildings must be masonry, frame/stucco, or concrete tilt-up.
- Leasing & transfer restrictions: An owner wishing to sell all or part of its parcel must first give an Offering Notice to the Parcel E Owner, who has a right of first refusal. The document also contains provisions for reconstruction after casualty and a right of other owners to purchase a damaged parcel if the owner elects not to rebuild.
- Signage & parking: Signage (pylon/monument signs) is permitted only as shown on the site plan and with Parcel E Owner's approval; costs are shared proportionally. Employee parking areas are designated by the Parcel E Owner. No parking is allowed except in designated areas.
