The Pointe at Squaw Peak is a homeowners association (HOA) in Phoenix, AZ, governed by these Bylaws, which define how the Association operates — meetings, elections, board structure, and assessments. This document does not contain detailed use restrictions (pets, leasing, parking, etc.); those would be in the Declaration or Rules & Regulations.
- Who governs the association: The Board of Directors has 9 members, all of whom must own at least half of a residence, be Arizona residents, and live in the subdivision. At least 2 directors must come from each of the three home types: Courthome, Garden Home (attached), and Single Family Residence (detached).
- Annual & special meetings of members: Annual meetings are held each November. Special meetings can be called by the President, the Board, or by written request of members holding 25% of the voting power. Written notice must be mailed 10–50 days before the meeting.
- Voting and proxies: Each residence has one vote. If joint owners disagree, they lose the vote. Proxies are valid for issues only (not candidates), expire after 25 days, and must be signed by all joint owners to be valid. A tie is broken by chance (coin flip or card draw). Cumulative voting is prohibited.
- Election of directors: A Nominating Committee appointed 120 days before the Annual Meeting screens candidates for eligibility only. Ballots are secret and mail-in ballots must arrive at the Management Company at least 2 days before the meeting. The candidates receiving the most votes are elected, with the top three (one from each home type) serving 2-year terms; others serve 1 year.
- Quorum and meeting rules: A quorum is half of the eligible votes. If not met, the meeting can be adjourned and reconvened after 2 days, with the quorum reduced to half of the previous requirement. Directors must be physically present; no proxy voting for directors.
- Removal and suspension of directors: Any director can be removed with or without cause by a 2/3 vote of members. A director must be removed after missing 3 consecutive regular monthly meetings. Suspension occurs if a director is 15 days delinquent on assessments or defaults on the Declaration.
- Assessments and liens: Each member must pay annual and special assessments, secured by a continuing lien on the property. Delinquency after 15 days allows the Association to sue or foreclose, adding interest, costs, and attorneys' fees. Non-use of common areas does not excuse payment.
- Powers of the Board: The Board can adopt rules for common areas, suspend voting and common-area use for delinquent or rule-breaking members, employ managers and professionals, and set assessment amounts with required notice.
