Scottsdale Pavilions is a commercial shopping center in Scottsdale, AZ — this document governs the 'Shopping Center' phase of the larger Scottsdale Pavilions II development. It sets rules for the owners of five commercial parcels (Parcels 1–5), not for residential tenants. It covers permitted uses, building design, common area maintenance, and cost-sharing among parcel owners.
- Permitted & prohibited uses: The Shopping Center may be used for any lawful retail or office use not specifically prohibited. Prohibited uses include bars/discotheques with less than 50% food revenue, bowling alleys, theatres, health clubs, flea markets, massage parlors, funeral homes, skating rinks, pornographic material sales, and off-track betting parlors over 2,500 sq ft (subject to tribal approval). No residential or industrial uses are allowed.
- Building & design restrictions: All buildings must be masonry, frame/stucco, or concrete tilt-up. No construction or material alteration may begin without prior written approval from the Parcel 5 Owner, who has sole discretion. Maximum building areas per parcel: Parcel 1: 8,300 sq ft; Parcel 2: 9,000 sq ft; Parcel 3: 6,505 sq ft; Parcel 4: 8,300 sq ft; Parcel 5: enough to maintain a parking ratio of at least 5 cars per 1,600 sq ft of building area in the entire Shopping Center.
- Common Area easements & maintenance: All parcel owners and their tenants have non-exclusive easements over the Common Area for parking, pedestrian/vehicular access, utilities, and signage. The Parcel 5 Owner acts as Manager and is responsible for maintaining the Common Area (resurfacing, cleaning, landscaping, lighting, insurance). Each owner pays a proportionate share of Common Area Maintenance Expenses based on the ratio of their ground floor leasable square footage to total completed ground floor leasable square footage in the Shopping Center.
- Assessments & fees: Common Area Maintenance Expenses are estimated monthly, with an annual true-up. Owners also pay a management fee equal to 15% of their share of Common Area Maintenance Expenses each year. Delinquent payments bear interest at the Default Rate (prime rate plus 5% per annum, not exceeding legal maximum) and may result in a lien on the owner's parcel.
- Insurance requirements: The Manager must maintain general public liability insurance with at least $5,500,000 combined single limit, insuring all owners. Policies must provide 10 days' prior written notice of cancellation or amendment to each owner.
