What The Citadel's governing documents say
The Citadel is a commercial shopping center in Scottsdale, AZ, governed by a Declaration of Covenants, Conditions and Restrictions (CC&Rs) that applies to two parcels. This document outlines the rights and obligations of the parcel owners regarding common area maintenance, reciprocal easements, signage, and architectural control.
- Common Area Maintenance (CAM) cost sharing: Parcel 1 and Parcel 2 share CAM costs based on Allocable Shares: Parcel 1 pays 66.32%, Parcel 2 pays 33.68%. Costs include landscaping, parking lot maintenance, and other specified items, plus a 15% supervision fee. Monthly advance payments are required, with annual reconciliation.
- Reciprocal easements: Non-exclusive perpetual easements are granted for parking, storm water drainage, and common area maintenance over the Common Area, benefiting both Parcel 1 and Parcel 2 and their permittees.
- Signage: No signage may be erected without prior written approval from Declarant, but replacement of existing signage with the same size, color, and format is allowed. Signage must be consistent with the shopping center theme and comply with applicable laws.
- Architectural review: Exterior changes or alterations to the shopping center require Declarant's prior written approval, which cannot be unreasonably withheld, including cosmetic or structural revisions on Parcel 1.
- Assessment lien: Unpaid sums (including CAM costs and interest) can become a lien on the respective parcel after recording a Notice of Lien, enforceable by foreclosure.
- Term and amendment: The Declaration remains in effect until December 31, 2041. Amendment requires mutual written consent of the owners of Parcel 1 and Parcel 2.
- What this document doesn't cover: This document governs commercial property relationships and does not contain residential rules (e.g., pet restrictions, lease terms for tenants, age restrictions, or homeowner assessments).
