Highlands at Arrowhead Ranch is a standard homeowners’ association (HOA) in Sun City, AZ. These are the association’s bylaws – the internal operating rules for the HOA corporation, covering meetings, board elections, assessments, and enforcement. They apply to all lot owners, tenants, and guests.
- Meetings of Members: Annual meeting in January. Special meetings called by president, board, or by written request of members with 1/4 of votes. Quorum is 30% of total votes; if not met, subsequent meeting quorum is 15%. Notice 15-60 days before meeting. Members may vote by proxy; proxies expire after 11 months or upon sale.
- Board of Directors: After declarant control ends, the Board has 5 members, each must be a lot owner (or corporate representative). Directors serve staggered 3-year terms. Removal requires 2/3 vote of members present. Vacancies filled by remaining directors. More than 3 consecutive absences may trigger removal. Director disqualified if assessment is 30+ days delinquent.
- Assessments & Budget: Assessments are set by the Board based on an annual budget (with reserves). Each lot pays a pro‑rata share. Declarant pays 25% of the annual assessment per owned lot (full amount if rented). Payments are quarterly, due on the first day of each quarter. Additional assessments require approval of 2/3 of votes of each class of membership.
- Collection & Enforcement: Assessments become delinquent 15 days after due; 12% annual interest (or higher FHA/VA rate) and late charges may apply. The Board can suspend voting rights and recreation facility use during delinquency. Unpaid assessments create a lien on the lot, enforceable by recording and lawsuit. Prevailing association gets attorney's fees.
- Amending the Bylaws: Bylaws can be amended at any regular or special board meeting. While Class B membership exists, FHA and VA have veto power. Any amendment affecting ownership percentages requires written approval from all first mortgage holders.
