- Design & construction approval: All exterior improvements, alterations, and renovations require Liberty's prior written approval of detailed plans (including site layout, landscape, roof, grading, elevations with materials and colors, sections, etc.). Liberty has 15 calendar days to approve, conditionally approve, or deny; failure to act within 15 days is a denial, but a written status request resets the clock, and 7 days of non-response thereafter constitutes approval. The buyer pays all reasonable out-of-pocket costs for Liberty's third-party consultants reviewing the plans.
- Maintenance standards: The buyer must maintain the property and all improvements in 'first class condition' at all times — vacant areas weed-free and dust-proof, exterior surfaces comparable to other office buildings in the park, landscaping healthy and well-maintained, and utilities/trash areas screened from adjoining land and public streets.
- Common areas & project costs: Liberty maintains the park's common areas; the buyer pays quarterly for its pro-rata share (by land area) of all project costs (maintenance, facilities, services). Project management fees are capped at 3% of project costs. Annual reconciliation within 90 days determines any overpayment refund or shortfall due within 30 days.
- Parking requirements: The buyer must provide adequate off-street parking to meet zoning requirements, eliminating on-street and overflow parking. Parking is prohibited on public/private streets, within common areas, on landscaped areas, or in utility easements.
- Delinquent charges & enforcement: Unpaid project costs trigger a default; Liberty can charge 1.5% per month interest plus attorneys' fees and recording costs. Liberty may foreclose a lien against the property under Arizona law or sue the buyer personally for the debt.
- Dispute resolution: Disputes over design approval or delinquent charges proceed to binding arbitration if not resolved within 14 days of written notice. Either party may initiate; the prevailing party recovers reasonable attorneys' fees and arbitration expenses.
