- Membership & Voting: Every lot owner is a member with one vote per lot. The developer (Declarant) initially holds Class B membership with three votes per unsold lot, converting to Class A when Class A votes exceed Class B, or by December 31, 2024. Voting rights can be suspended for non-payment of assessments (30 days delinquent) or non-monetary defaults (10+ days after notice). Proxies are allowed for 11 months.
- Board of Directors: The Board has 3–7 directors, each serving three-year terms. Directors can be removed by majority vote of members. The developer can unilaterally remove and appoint directors until the first annual meeting. Board meetings must occur at least quarterly, and after Class B ends, members get 48-hour notice of board meetings.
- Meetings of Members: Annual meetings are required at least every 12 months. Special meetings can be called by the president, a majority of the board, or by members holding 25% of total votes. A quorum is 10% of votes entitled to be cast. Robert's Rules govern meeting procedure.
- Assessments & Liens: The Board sets annual assessments at least 30 days in advance. Unpaid assessments bear interest and create a lien on the lot, which the Association may foreclose. Owners cannot waive assessments by non-use or abandonment. Special and supplemental assessments are also authorized, as detailed in the Declaration.
- Amendments: Bylaws can be amended by a vote of members per the Articles, but any conflict with the Declaration or Articles is resolved in favor of the Declaration. The Board may also amend to comply with government or lender requirements.
