What Merion's governing documents say
This document is the Bylaws for the Merion Homeowner's Association, a Texas nonprofit corporation that governs a residential planned community of single-family homes in Dallas, TX. The Bylaws set out how the Association is run (board, meetings, voting, enforcement, and fines) and apply to all homeowners (Members) in Merion. A separate amendment increases the maximum fine the Association can impose to $1,200 per violation.
- Board of Directors & Officers: The Board has 3–5 directors, at least a majority must be homeowners or residents. Directors are elected annually by Members; Declarant controls the board during the development period. Officers (President, Secretary, Treasurer) are elected by the board.
- Meetings & Voting: Annual meetings required. Quorum is 10% of total voting power (Members or proxies) for the first meeting, reduced to 7.5% for an adjourned second meeting. Proxies are valid for up to 11 months. Absentee and electronic ballots are allowed with specific rules.
- Fines & Enforcement: The Association may impose fines up to $1,200 per separate violation (per the Second Amendment). Before fining or suspending common area use, the Association must provide written notice and an opportunity for a hearing, except for self-evident, life-threatening, or repeat violations.
- Due Process for Violations: Owners must receive written notice describing the violation, the fine or suspension, and the right to request a hearing within 30 days. The hearing can be before the Board or a committee, and the decision can be appealed to the Board.
- Assessments & fees: All owners must pay fees and assessments as set in the Declaration. Failure to pay can result in suspension of common area use, late fees, and lien foreclosure. The Board may borrow funds and increase assessments subject to Declaration limits.
- Amendment Process: During the development period, the Declarant can amend the Bylaws without owner approval. After the development period ends, amendments require a two-thirds affirmative vote of Members at a meeting with a quorum.
- Common Area Use & Rules: Members may use common areas as provided in the Declaration. The Board can adopt and amend rules for administration, maintenance, and resident welfare, as long as they don't conflict with governing documents. Rules must be recorded and copies provided to owners.
- Record Keeping & Inspections: The Association must keep membership and financial records and make them available for inspection by Members during regular business hours. Membership contact information is not confidential among Members.
