Walnut Creek North is a standard single-family-home HOA in Mansfield, TX. These First Amended and Restated Bylaws (filed 2019) govern how the association is run – board elections, meetings, and enforcement – but do NOT contain the community's use restrictions (e.g., pets, parking, rentals). Those rules are in the separate Declaration of Covenants.
- Membership & voting: Each lot owner gets one vote per lot owned. Owners must be members. Quorum is 10% of all voting power. Voting can be in person, by proxy, absentee ballot, or electronic ballot.
- Board of Directors: Board must have at least 5 directors, each serving 2-year staggered terms (so about half are elected each year). Only one director per household. Directors must be members; convicted felons (within 20 years) are ineligible. Directors serve without compensation but get expense reimbursement.
- Meetings & notice: Annual meetings required. Board meetings must be open to all members, with exceptions for executive session (personnel, litigation, etc.). Notice to members: at least 10 days for mailed notice, 72 hours for posted or emailed notice. Special meetings can be called by the president, board, or members holding 10% of votes.
- Enforcement & fines: Board can levy fines for rule violations, suspend common-area use, and file liens for unpaid assessments. Before fining or suspending (except for health/safety emergencies or foreclosure suits), the board must give written notice and an opportunity for a hearing within 30 days.
