This is a commercial Joint Development Agreement between Parks/Martin Development Co., Inc. and In-N-Out Burgers for Pad #2 North in the SanTan Village Phase 1 shopping center in Gilbert, AZ. It sets development and use restrictions for a single fast-food restaurant parcel, not a residential community. Homeowners, buyers, or renters in nearby residential areas are not bound by this document.
- What this document covers: This is a development agreement for one commercial outparcel (Pad #2 North) in the SanTan Village shopping center. It governs construction, use, parking, signage, and repurchase rights for that specific parcel only.
- Building size & height: Any building on the property cannot exceed 5,000 square feet of gross building area, with no more than 1,000 square feet of outside patio area and one drive-thru lane. Building height is limited to 24 feet, with architectural features up to 28 feet.
- Construction deadlines: Buyer must commence construction within 300 days of the deed recordation and complete it within 500 days. Failure can trigger Seller's right to repurchase the property.
- Use & operating covenant: Buyer must open and operate as an In-N-Out Burger restaurant for at least one day. After that, Buyer may remodel or replace improvements with Seller's approval.
- Parking requirements: If used as an In-N-Out Burger or quick-serve drive-thru restaurant, 15.0 parking spaces per 1,000 square feet of gross building area must be provided. For other uses, parking must comply with the existing ECR.
- Signage: Buyer gets rights to maintain signs on a Freeway Pylon Sign and a Pad 1 Monument Sign, subject to paying a pro-rata share of design, construction, and maintenance costs. Sign modifications require Seller approval.
- Seller's repurchase rights: If Buyer fails to commence or complete construction on time, or fails to open for business, Seller has the right to repurchase the property. Price depends on the reason for repurchase (original price for failure to commence, fair market value for other failures).
- What this document doesn't cover: This document does not contain typical residential HOA rules (pets, leasing, noise, parking for residents, assessments, etc.). It references other recorded CC&Rs and an ECR that may affect the shopping center, but those are not included here.
