It governs two commercial parcels (North and South) and restricts what types of businesses can operate on each parcel. The document is an ancillary deed restriction, not a full rulebook for residents.
- Exclusive uses for North Parcel: The North Parcel has the exclusive right to sell burgers as a primary use (e.g., Freddy's). No other part of the Property may use burgers as a primary use. This restriction terminates automatically if the North Parcel is not used as a Freddy's for 12 consecutive months after opening, or if a Freddy's is not constructed within 3 years of recording, or if any other business operates there first (excluding permitted closures).
- Exclusive uses for South Parcel: The South Parcel has exclusive rights to specialty coffee uses (e.g., Starbucks) and to sell burritos, wraps, fajitas, or tacos (e.g., Chipotle). The North Parcel cannot sell such items except incidental sales (coffee under 20% of gross sales; Mexican food under 10% of gross sales). The coffee restriction terminates if a specialty coffee use does not open within 3 years or closes for 6 consecutive months (except permitted closures), with special provisions if Starbucks is the initial occupant. The Mexican food restriction terminates if a Chipotle is not built within 3 years or is closed for 6 consecutive months after opening.
- Default & remedies: If an owner/tenant violates any restriction, the owner of the violating parcel has 20 days after written notice to cure. If not cured, the non-defaulting owner can seek injunctive relief and monetary damages. The prevailing party in any enforcement action can recover attorneys' fees and costs.
- Modification & termination: The declaration can only be modified by a written, recorded agreement of both parcel owners. If all use restrictions automatically terminate per their terms, either owner may unilaterally terminate by recording an affidavit stating the facts.
