What Cross Oak Ranch Homeowners Association, Inc.'s governing documents say
This is a filing of the articles of incorporation, bylaws, and certain policies for Cross Oak Ranch Homeowners Association, Inc., a standard single-family HOA in Aubrey, Texas. The documents define the corporate structure, membership, and board powers but do not contain the full rules (declaration of covenants, conditions, and restrictions) that govern how homeowners may use their property, maintain their lots, or what amenities exist.
- Corporate structure & membership: The association is a Texas non-profit corporation with two classes of voting membership: Class A (all homeowners, one vote per lot) and Class B (the developer, entitled to 15 votes per lot). Class B membership automatically converts to Class A upon certain conditions, and no later than January 1, 2013.
- Board of directors: The board must have at least three and no more than seven directors, elected annually by members. Directors serve one-year terms and may be removed with or without cause by a majority vote of members.
- Meetings & voting: Annual meetings of members are required; special meetings may be called by the president, a majority of the board, or upon written request of members representing at least 10% of Class A membership. A quorum is one-third of total votes (reduced to one-fourth for a subsequent meeting held after an adjournment due to lack of quorum).
- Assessments & liens: Each member must pay annual and special assessments, which are secured by a lien on the lot. Assessments unpaid within 10 days of the due date are delinquent and may incur late charges. The association may sue the owner personally or foreclose the lien.
- Application of payments policy: When a homeowner makes a payment, the association must apply it in this order: 1) any delinquent assessment; 2) any current assessment; 3) attorney’s fees or collection costs that could lead to foreclosure; 4) other attorney’s fees; 5) fines; 6) any other amounts owed.
- Alternate payment plan policy: A delinquent owner may request a payment plan of up to 9 months, starting with an initial payment of 10% of the total owed, followed by equal monthly installments. To be eligible, the owner must not have defaulted on a prior plan within the past two years.
- Document inspection and copying: Homeowners (or their designated agents) have the right to inspect and copy the association’s books and records, subject to reasonable rules. Written requests must be sent by certified mail. Certain records (e.g., attorney files, employee information, other owners’ violation history) are excluded from inspection.
- What this document doesn't cover: This filing consists of corporate governance documents and a few administrative policies. It does not contain the actual deed restrictions (declaration of covenants, conditions, and restrictions) that specify rules about property use, architectural controls, landscaping, parking, pets, leasing, or community amenities. Those rules would be found in the Declaration referenced but not included here.
