The Preserve at Doe Creek Homeowners Association is a single-family home HOA in Corinth, TX. This document is the Association's Bylaws and Certificate of Formation, which describe how the HOA is governed—meetings, board elections, voting, and finances—but do not contain the community's actual use restrictions (like pets, rentals, or architectural rules). Those are in the separate Declaration of Covenants, Conditions, and Restrictions (CC&Rs).
- HOA governance structure: The Association is a nonprofit corporation governed by a Board of Directors. During the development period (while the builder is still active), the Declarant (builder) selects all three directors. After the development period ends, directors are elected by homeowners. Homeowners may vote to increase the board from three to five members.
- Membership and voting rights: Membership is automatic for every lot owner. Each owner gets one vote per lot, and voting can be done in person, by proxy, absentee ballot, or electronic ballot. The quorum for member meetings is just over 5% of the total votes. A 20% owner petition can force a special meeting.
- Annual meetings and elections: An annual meeting is held each year. Board elections occur at the annual meeting. To run for the board, a member must notify the Association by a deadline; nominations from the floor are not allowed. Directors serve staggered two-year terms after turnover.
- Board meetings and open meetings: The board must hold at least four meetings per year (one per quarter). All board meetings are open to members, but members may not participate unless allowed. The board can hold closed executive sessions for personnel, legal, or enforcement matters.
- Removal of directors: Directors elected by homeowners can be removed 'with cause' by a majority vote of members present at a meeting. Cause includes failure to comply with governing documents after notice. A director can also be removed by the other directors for missing three consecutive meetings without just cause.
- Financial management: The board prepares an annual budget, levies assessments, and collects them annually in advance unless otherwise determined. An independent CPA must perform an annual audit. Checks over $1,000 require two signatures. The board may hire a management agent.
- What this document doesn't cover: These Bylaws and Certificate of Formation do not include the CC&Rs' restrictions on property use, such as pet limits, leasing minimums, architectural approvals, parking rules, or lot maintenance standards.
