This is the Amended and Restated Bylaws of Oak Creek Estates Homeowners' Association, Inc., a standard single‑family HOA in Highland Village, TX. It governs the internal operation of the association—membership, meetings, board of directors, officers, assessments, and amendment procedures—but does not contain the full set of community rules (such as pet restrictions, architectural standards, or use limitations), which are found in the Declaration of Covenants, Conditions, and Restrictions (CC&Rs).
- Membership & voting rights: Each lot owner automatically becomes a member with one vote per lot owned. Voting can be in person, by proxy, absentee ballot, or electronic ballot. A quorum is 40% of votes entitled to be cast. Majority vote decides most matters unless a greater number is required by law or the Declaration.
- Board of directors: The board manages the association, consisting of 3–9 directors (initially 3) elected by members at the annual meeting. Directors serve terms and can be removed for cause by majority vote. Regular meetings follow the annual meeting; special meetings can be called by the president or any two directors. A majority of directors constitutes a quorum.
- Members' meetings: Annual meetings are held on the first Monday in October at 7:30 p.m. at the association's principal office or another designated location. Special meetings may be called by the president, board, or holders of at least 25% of votes. Notice must be given 10–60 days before the meeting.
- Officers: Officers include a president, secretary, and treasurer, elected annually by the board. The president has general direction; the secretary keeps minutes and records; the treasurer manages finances. Officers need not be members.
- Assessments & foreclosure limitations: The board establishes and collects assessments as detailed in the Declaration. The association cannot foreclose a lien that consists solely of fines or related attorneys' fees. Foreclosure requires notice to subordinate lienholders and either a court order or the owner's written waiver. A 67% member vote can remove the foreclosure right from the governing documents.
- Amendment of bylaws: Members have the power to alter, amend, or repeal the bylaws, but may delegate that authority to the board of directors.
- Open board meetings & executive sessions: All regular and special board meetings must be open to members. The board may hold closed executive sessions for personnel, litigation, contract negotiations, enforcement, attorney communications, privacy, or confidential matters. Decisions in executive session must be summarized orally and in minutes. Certain actions (fines, damage assessments, foreclosure, enforcement, assessment increases, special assessments, architectural appeals, suspension of member rights) require prior notice to members.
