What Heights of Biltmore's governing documents say
Heights of Biltmore is a planned community (HOA) in Phoenix, AZ. These Bylaws govern how the Association is run—membership, voting, board elections, and meetings. They do not contain the community's use restrictions (CC&Rs) or detailed rules for residents.
- Governance & documents hierarchy: The Association is governed by its Articles, CC&Rs, and these Bylaws, in that order of priority. If state law conflicts, law controls.
- Membership & voting: Membership is automatic with lot ownership. Each lot gets one vote on Association matters (except board elections, where each lot gets votes equal to vacant positions). Proxy votes are not permitted. Votes cannot be split among co-owners.
- Good standing requirement: To vote or run for board, a member must not be more than 15 days behind on assessments or any other obligation under the CC&Rs.
- Board of Directors: The board has 3–7 directors elected annually by members in good standing. There is no limit on consecutive terms. Directors can be removed by members (with or without cause) via a special meeting requested by 25% of members in good standing.
- Meetings & quorum: Annual meeting in January. Special meetings can be called by the board or by petition of 25% of members in good standing. Quorum for most member meetings is 25% of members in good standing; for approving a >15% assessment increase or bylaw amendments, quorum is 50% at first meeting, then 25% at a second meeting.
- Bylaw amendments: The board may adopt or amend bylaws by majority vote, but policy requires member approval by majority at an annual or special meeting before board approval.
