What Scottsdale Autoshow's governing documents say
This is a commercial declaration of covenants for Scottsdale AutoShow, a planned automotive dealership development on tribal land (Salt River Pima-Maricopa Indian Community). It binds lessees (auto dealers) who lease parcels and are members of the Scottsdale AutoShow Dealers Association. The document controls site development, design, use, assessments, and signage for the auto mall.
- Permitted use: Each parcel must be used as a Permitted Automobile Dealership (retail sale of new/used vehicles and related service). Other uses require approval; certain uses are prohibited.
- Development & design approval: All exterior improvements must be approved by a Development Committee (with Community and Declarant representatives) following a two-stage submission process. The AutoShow Design Guidelines supplement the declaration and govern architecture, landscaping, parking, signage, etc.
- Assessments: The Association levies regular assessments, special assessments, reimbursement assessments, capital improvement assessments, and advertising/promotional assessments. Assessment amounts are based on net acres per parcel.
- Association membership & voting: Each lessee gets one membership per net acre (minimum one). Voting power is proportional to membership count. During the Period of Declarant Control (while Declarant holds unsold parcels), Declarant appoints most board members.
- Common areas & easements: Common areas (2.05 acres) include entrance areas, utility corridor, freeway signage area, and transportation areas. Multi-Use Deed Restriction Areas within parcels allow for utility infrastructure. Easements include road and utility rights held by the Community and ADOT.
- Signage & advertising: Freeway signage includes a reader board with electronic message boards. Each lessee gets display time proportional to its membership share. Declarant reserves 5% of display time for general AutoShow ads. A trademark licensing agreement is required for each lessee.
- What this document doesn't cover: This is a commercial declaration; it does not address residential use, age restrictions, pets, or tenant-occupied housing. It is an excerpt of the full document — details on enforcement, arbitration, and some definitions are omitted in this excerpt.
