What Lakebrook Villas II Homeowners Association's governing documents say
This is the Bylaws of Lakebrook Villas II Homeowners Association, a condominium community governed by a homeowners association. The document establishes the governance structure, including board composition, member meetings, and officer duties. It does not contain detailed use restrictions; those are in the Declaration of Covenants, Conditions, and Restrictions and the Declaration of Horizontal Property Regime. Residents should consult the Declaration for rules on pets, leases, and other property use.
- Board of Directors: The Association is governed by a Board of 3 to 7 members, elected by the members. Directors serve without compensation but may be reimbursed for expenses. They manage the business, adopt rules, and enforce assessments.
- Meetings of Members: Annual meetings are held on the third Monday of February at 7:30 PM. Special meetings may be called by the President, Board, or by owners holding 30% of total votes. Quorum is 51% of members; if not met, a subsequent meeting requires half that quorum.
- Voting Rights: Each unit is entitled to one vote. If owned by multiple persons, they designate one voter. Proxies are allowed but expire after 25 months. Members may vote in person or by proxy.
- Assessments and Financials: The Board fixes annual assessments at least 30 days in advance and sends notices. The Board can suspend voting rights and common area use for nonpayment. The Treasurer prepares an annual budget and income statement.
- Amendments to Bylaws: The Board can amend these Bylaws, subject to repeal or change by a two-thirds vote of all members.
- Building Rules: The Board may adopt, alter, and enforce operational and building rules. All unit owners, lessees, and guests must comply. The Declaration's rules are incorporated by reference.
- Indemnification: The Association indemnifies directors, officers, employees, and agents against expenses and liabilities incurred in their roles, except in cases of fraud, gross negligence, or bad faith.
- What this document doesn't cover: This document is the Bylaws only. It does not contain specific use restrictions such as pet limits, lease terms, or architectural standards. Those are in the Declaration (referred to herein) and any separate rules adopted by the Board.
