Scottsdale Shadows VII is a condominium (horizontal property regime) in Scottsdale, AZ. These By-Laws govern the corporation's internal operations, including voting, board elections, assessments, and maintenance obligations for unit owners. The document applies to all owners, tenants, and occupants.
- Voting rights: Each unit is entitled to one vote, allocated by percentage interest in common elements (as per the Declaration). Co-owners must designate one person to vote. Proxies are allowed and must be filed before meetings.
- Board of Directors: The Board has 3 to 7 members, all of whom must be unit owners. Directors serve staggered 3-year terms. Only one co-owner per unit may serve. Directors are elected by secret ballot at the annual meeting; removal is possible by vote of members.
- Assessments: All owners pay monthly assessments covering common element expenses, reserves, and obligations to a recreational center. A new owner must pay a working capital fee equal to six months' assessments (refunded upon sale). Late penalties may apply.
- Maintenance & repairs: Owner must maintain and repair interior of their unit. The Board may enter after 30 days' notice to make necessary repairs and charge the owner. Structural modifications require prior Board approval. Damage to common elements caused by owner is reimbursable.
- Right of entry: The Board or management may enter a unit for inspection or repairs with advance notice at a reasonable time, except in emergencies where immediate entry is allowed.
- Books & records: The corporation must maintain complete books, minutes, and owner/mortgagee lists. Owners and mortgagees may inspect records for proper purposes upon written request. An annual report is sent to owners; an independent audit can be demanded by 40% of votes.
- Amendments: These By-Laws may be amended by a majority vote of members at an annual or special meeting, provided the proposed amendment is included in the meeting notice. Amendments cannot contradict the Declaration or Articles of Incorporation.
